For a buy-side assignment in which we would be compensated by your company, we would be working on your behalf to minimize the transaction cost, while minimizing risk (transactional, due diligence, etc.).

Acquisition candidates will generally be of two types: companies already on the market for sale, or companies that can be convinced to consider selling, but which are not now on the market. This second group may be considered the hidden market, and obviously they are the most elusive.

It is estimated that for every company with over $3 million revenue in an industry on the market, there are 15-25+ that may be candidates for acquisition if properly approached. Of course, not all of these prospects will be interested immediately upon being asked, and many will require much hand-holding to convince.

If contracted as a full service M&A Advisor-Broker, we would manage the search process from the beginning through the close. We would seek and screen candidates, attempt to interest them in being acquired, bring your company interested prospects for validation, advise you on pricing, negotiation and deal structure issues, manage the process of your company making offer(s), then manage a transaction through completion.

Elements of value for your company would be access to a proprietary market of pre-screened candidates, in a limited-competition pricing environment, reduction of associated risk, being in and out of the market on a timely basis, and not having to mire your internal resources in the workings of this process.

Additionally, transactions driven by M&A Advisors are generally more likely to ultimately close.
